Iowa Economic Development Authority Photo Release

I hereby grant permission to the Iowa Economic Development Authority and its agents to reproduce any portion of the photo images found on Twitter or Facebook.

I will retain ownership rights to the photo images, but grant the Iowa Economic Development Authority and its agents a worldwide non-exclusive, royalty free, fully-paid, perpetual, sub-licensable, and transferable license to use, reproduce, distribute, adapt, prepare derivative works of, translate, publish, and publicly display the photo images for display on the Iowa Economic Development Authority's website and the Iowa Economic Development Authority’s media channels, and other promotional materials.

The Iowa Economic Development Authority does not guarantee any confidentiality or protection of any photo image against use by third parties. I represent and warrant that I am the owner or have the necessary licenses, rights, and consents to the Iowa Economic Development Authority and its agents all intellectual property rights, including copyright or trademark, and other proprietary rights in and to the photo images.

I acknowledge and agree that this Photo Release will be governed and construed under the laws of the United States and the laws of the State of Iowa, without application of its conflict of laws principles. Any disputes arising out of or relating to this Photo Release shall be resolved individually, without resort to any form of class action, exclusively before a court located in Des Moines, Iowa, having jurisdiction. Nothing in this paragraph shall affect the Iowa Economic Development Authority’s ability to seek from a court injunctive or equitable relief at any time.

I hereby represent and warrant that all statements made by me about this photo are true, accurate, and complete, and I hereby indemnify the Iowa Economic Development Authority and its agents from and against any and all losses or damages (including attorneys’ fees) arising out of or relating to any statements or representations made by me in this Photo Release or otherwise.

I (my parent/legal guardian if I am from a State/Province that deems me a minor) have had full opportunity to review this Photo Release. I fully and completely understand all of the terms of this Photo Release and have commented with my permission voluntarily, freely, and knowingly. I acknowledge and agree that this is a complete release and discharge all claims and rights against the Iowa Economic Development Authority and its agents, and that no action will be taken by myself or on my behalf with respect to any such claims or rights, it being understood that this Photo Release shall be binding upon my heirs, executors, and administrators, and anyone claiming by or through me.
